Effective Date**August 2026** Version**v0.4** Contents 01 — About These Terms ## Conditions of Sale and Supply Glass Technique Ltd ("GT") sells glass products ("Goods") and related services ("Services") only on and subject to these Conditions of Sale and Supply (v0.4, issued August 2026). These terms apply to all orders, whether placed through this website, by email, or by telephone. GT is a company registered in England and Wales (Company No. 13083226). Registered office: 71-75 Shelton Street, London WC2H 9JQ. Trading address: Gadeplas, Hemel Hempstead Road, Dagnall, HP4 1QR. VAT GB373386766000. These Conditions form the entire agreement between GT and the customer. Any terms the customer tries to impose are excluded unless GT agrees otherwise in writing. You may use this website only for lawful purposes. GT reserves the right to suspend or withdraw access to the website at any time without liability. 02 — Product Specifications ## Specifications, Standards & Conformity All Goods are assessed against the British/European Standards applicable to the relevant product type (BS EN 572 for float glass, BS EN 12150 for toughened glass, BS EN 14179 for heat-soaked toughened glass, BS EN 12600 for impact classification, and BS EN 1096 for coated glass, among others). For switchable glass, there is no dedicated harmonised product standard. The laminated glass build-up is assessed under the applicable laminated-glass Standards, while optical and switching characteristics (haze, light transmission, switching time, uniformity, colour, and edge/busbar effects) are assessed against the published tolerances of the film manufacturer. Dimensional tolerances (cut size, thickness, squareness, edgework, flatness, hole position) are those permitted by the applicable Standards. Goods within those tolerances are conforming. Visual quality is assessed in accordance with the applicable GGF visual-quality method. Inherent characteristics such as anisotropy in toughened glass, edge effects in laminated glass, and viewing-angle effects in switchable glass are not defects. The customer is responsible for satisfying itself that the declared characteristics are appropriate for its intended use and the works into which the Goods are to be incorporated. 03 — Orders & Acceptance ## Orders, Acceptance & Supply Placing an order constitutes an offer to purchase Goods subject to these Conditions. All orders are subject to acceptance by GT. An order is not accepted until GT issues a written Order Acknowledgement or begins dispatch. GT may decline any order without giving reasons. Goods are made to order. Once accepted, orders are irrevocable except as these Conditions allow. Where the customer specifies the Goods or processing outside GT's Recommended Conditions, this is a "Deviation" — GT is not liable for any defect arising from that Deviation. The customer must inspect delivered Goods and notify GT of any visible damage or discrepancy before signing the delivery note. Goods must be verified against the Order Acknowledgement for count, dimensions, product type, visual quality, labelling, and transit damage. 04 — Pricing & Payment ## Pricing & Payment Terms All prices are exclusive of VAT unless otherwise stated. VAT is charged at the prevailing rate on the date of invoice. Unless a credit account has been approved, payment is due in advance. For approved credit accounts, payment is due within 30 days of the date of invoice. GT may charge interest on overdue payments at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998, compounded daily from the due date until payment is received. Quotations are valid for 30 days from the date of issue unless otherwise stated. Prices may be subject to change after this period. GT may set off any amount the customer owes against any amount GT owes the customer. 05 — Delivery & Inspection ## Delivery, Inspection & Acceptance Delivery dates are estimates only and not guaranteed. GT is not liable for delay caused by events beyond its reasonable control. For supply-only orders, risk passes to the customer on delivery to the carrier or collection from GT's premises. For projects involving installation, risk transfers upon completion of installation and final handover. The customer must verify count, dimensions, product type, visual quality, labelling, and transit damage on delivery or collection, before committing Goods to processing or installation. For switchable Goods, the customer must carry out a powered functional check before installation — verifying switching in both states, uniformity, shade/colour consistency, and haze against the manufacturer's published tolerances. Use, processing, installation or incorporation of Goods constitutes acceptance. Once accepted, Goods may not be returned except as these Conditions allow. 06 — Title & Risk ## Retention of Title Risk of loss or damage passes on delivery or collection. Title (ownership) does not pass until GT has received payment in full for all Goods under the relevant order. Until title passes, the customer must store the Goods separately, keep them in good condition, and ensure they are clearly identifiable as GT's property. GT may recover Goods where payment is overdue. The customer grants GT an irrevocable right of entry to any premises where the Goods are stored for this purpose. The customer may resell Goods in the ordinary course of business before title passes, but must account to GT for the proceeds. If payment is overdue, GT may direct the customer to resell on terms that ensure GT receives the proceeds. 07 — Warranty ## Warranty & Remedy GT warrants that at the point of delivery or collection, the Goods will conform in all material respects to the applicable Standards and to the Specification, subject to the tolerances and acceptance criteria in the applicable Standards. The warranty period is 12 months from the date of delivery or collection, unless a different period is expressly stated in GT's Order Acknowledgement, or a shorter corresponding upstream warranty applies. The warranty does not cover: spontaneous breakage of toughened glass caused by nickel sulphide inclusions; thermal-stress breakage from installation conditions; inherent visual characteristics recognised by the applicable Standards (anisotropy, roller wave, edge effects, colour variation, switching effects); condensation on insulating glass units; damage from incorrect transport, storage, handling, installation, cleaning or maintenance; fair wear and tear; or edge delamination in laminated glass. GT's warranty for defects originating in films, interlayers, components or processing from its suppliers is no greater in period, scope or remedy than the corresponding upstream warranty GT receives. Where a valid claim is established, GT will at its option repair, remake or replace the affected Goods within a reasonable time. Only where GT has had at least two reasonable opportunities to repair, remake or replace and the non-conformity persists will GT instead refund the price paid. Repair, remaking/replacement or refund is GT's sole liability and the customer's sole and exclusive remedy. 08 — Safety-Critical Applications ## Safety-Critical Applications These Conditions do not warrant, and must not be relied on as warranting, that any Goods are fit for a safety-critical application — meaning use as or in: a barrier, balustrade or protective glazing; overhead, sloped or roof glazing; a glass floor, stair, tread, fin, beam or other structural or load-bearing glass element; frameless structural glass; or load-bearing framing. For any safety-critical application, the adequacy of the glass make-up is a separate engineering question that requires a specific, engineered specification verified by a suitably qualified chartered engineer. GT gives no warranty of fitness for a safety-critical application unless GT has expressly provided or confirmed such an engineered specification in writing for that application. GT may decline to manufacture or supply Goods to a specification it considers unsafe or inadequate for the customer's stated or apparent application. 09 — Limitation of Liability ## Limitation of Liability Nothing in these Conditions limits GT's liability for: death or personal injury caused by GT's negligence; fraud or fraudulent misrepresentation; breach of the implied term as to title; or any other liability that cannot lawfully be limited or excluded. Subject to the above, GT is not liable for: loss of profit; loss of revenue or turnover; loss of business, contracts or opportunity; loss of anticipated savings; loss of goodwill or reputation; wasted expenditure or staff time; loss or corruption of data; the cost of removing, re-installing or replacing the Goods; or any liability of the customer to any third party. GT's total aggregate liability arising under or in connection with each order is limited to the total price paid or payable by the customer for the Goods and/or Services under that order. The customer acknowledges that these exclusions and limitations are reasonable having regard to the made-to-order nature of the Goods, the price charged, the availability of insurance, and the customer's ability to satisfy itself as to fitness for purpose. 10 — Intellectual Property ## Intellectual Property & Confidentiality All intellectual property rights in the Goods, and in GT's products, brands, know-how, techniques, formulations, processes, designs and documentation, are and remain GT's property. Nothing in any order transfers or grants intellectual property rights to the customer. Supply of Goods does not grant the customer any licence to use GT's intellectual property, know-how or techniques except to use and resell the Goods themselves in the ordinary course of business. The customer must not: analyse, decompile or reverse-engineer any Goods to discover GT's know-how, techniques or processes; use GT's know-how to manufacture competing goods; or use GT's brands or confidential information other than as permitted by the order. GT's confidential information (including know-how, techniques, formulations, processes, pricing and technical data) must be kept confidential, used only for the purpose of the order, and not disclosed without GT's written consent. 11 — Force Majeure ## Force Majeure GT is not in breach of an order, nor liable for any delay or failure to perform, if the delay or failure results from an event beyond GT's reasonable control — including act of God, fire, flood, severe weather, epidemic or pandemic, war, terrorism, civil unrest, strike or labour dispute, failure of utilities or transport, breakdown of plant, shortage of materials or energy, or any act or omission of a supplier or government authority. GT will notify the customer of the event and may suspend performance for its duration. A force majeure event does not entitle the customer to withhold payment for Goods already delivered or Services already performed. If the event continues for more than 3 months, either party may terminate the affected order on written notice, without liability except for sums already accrued. 12 — Consumer Rights ## Consumer Sales (Part B) Where you contract as a consumer (an individual buying wholly or mainly for purposes outside your trade, business, craft or profession), these Conditions apply in full. Your statutory rights under the Consumer Rights Act 2015 are preserved. Under the Consumer Rights Act 2015, goods must be of satisfactory quality, fit for any particular purpose you make known, and as described. Where services are supplied, they must be carried out with reasonable care and skill, within a reasonable time, and for a reasonable price. If goods are faulty, you have the right to reject them and get a full refund within 30 days of purchase. After that, you are entitled to a repair or replacement, and if that fails, to a price reduction or the final right to reject. For distance or off-premises sales (online, phone or email), you have the right to cancel within 14 days without giving a reason. On cancellation, GT will refund all payments received including standard delivery within 14 days of the goods being returned. The 14-day cancellation right does not apply to goods made to your specifications or clearly personalised, which includes glass cut, processed or laminated to your measurements or design. Advice on statutory rights is available from Citizens Advice. 13 — Governing Law ## Governing Law & Jurisdiction These Conditions are governed by and construed in accordance with the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods 1980 (CISG) does not apply. If any provision of these Conditions is held invalid, illegal or unenforceable, it is treated as deleted to the minimum extent necessary, and the validity of the remaining provisions is not affected. No failure or delay in exercising any right is a waiver of it. Nothing in these Conditions creates any partnership, joint venture or agency between the parties.
